These Terms & Conditions ("Terms") govern your access to and use of the ASIN Analyzer web application and related services (the "Service"), provided by C. Dzembo Enterprises LLC, a limited liability company organized in the United States ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility & Account

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. You are responsible for keeping your account credentials confidential and for all activity under your account. You agree to provide accurate information and to keep it current.

2. The Service

ASIN Analyzer is an analytics and decision-support tool for Amazon sellers. It ingests publicly available or licensed product data and returns a recommendation (Buy / Review / Pass) and supporting metrics. The Service is provided for informational purposes only and does not constitute investment, financial, legal, or business advice. You are solely responsible for your sourcing and purchasing decisions.

Lead consistency, not a guarantee. The tool is designed to improve lead consistency and surface data points you may otherwise miss. It does not replace your own judgment, due diligence, or verification of product authenticity, brand restrictions, intellectual-property rights, or seller compliance. You must independently confirm that any product you source is legitimate, ungated for your account, and free of IP, trademark, or brand-gating issues before purchasing or listing it.

No liability for IP, brand, or compliance claims. C. Dzembo Enterprises LLC is not responsible for any intellectual-property complaints, trademark disputes, brand restrictions, counterfeit allegations, account suspensions, or other claims brought against you by Amazon, brand owners, rights holders, or any third party arising from products you source, buy, or list after using the Service. All sourcing risk remains with you.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law;
  • Engage in fraud, abuse, spam, or impersonation;
  • Infringe the intellectual property, privacy, or other rights of any third party;
  • Probe, scan, scrape, reverse engineer, decompile, or attempt to interfere with the security or integrity of the Service;
  • Introduce malware, viruses, or other harmful code;
  • Resell, sublicense, or redistribute the Service or its outputs as your own product;
  • Circumvent usage quotas, device limits, or other technical restrictions.

4. Intellectual Property

The Service, including all software, content, branding, and documentation, is owned by C. Dzembo Enterprises LLC and protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes. No other rights are granted.

5. User Content

You retain ownership of any data you submit (such as ASIN lists). You grant us a limited license to host, process, and analyze that data solely to provide the Service. We do not sell your data.

6. Payments, Billing & Subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscription plans renew automatically at the end of each billing period unless cancelled in advance. Pricing is shown in U.S. dollars unless otherwise stated; applicable taxes are calculated and remitted by Paddle.

8. Service Availability

We work hard to keep the Service reliable, but we do not guarantee uninterrupted, timely, secure, or error-free operation. We may modify, suspend, or discontinue features at any time. Scheduled maintenance and third-party data feed outages may affect availability.

9. Suspension & Termination

We may suspend or terminate your access to the Service, with or without notice, if you: (a) materially breach these Terms; (b) fail to pay fees when due; (c) create security, legal, or fraud risk; or (d) repeatedly or seriously violate our acceptable-use rules. You may cancel your subscription at any time through your account or through Paddle. Upon termination, your license to use the Service ends; we may delete account data after a reasonable export window.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. We do not warrant that recommendations, scores, or data will be accurate, complete, or profitable.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL C. DZEMBO ENTERPRISES LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW (E.G., FRAUD OR WILLFUL MISCONDUCT).

12. Indemnification

You agree to defend, indemnify, and hold harmless C. Dzembo Enterprises LLC and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your breach of these Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of the United States and the State in which C. Dzembo Enterprises LLC is organized, without regard to conflict of law principles. Any dispute will be resolved exclusively in the state or federal courts located in that State, and you consent to personal jurisdiction there. You and we each waive any right to a jury trial. Claims must be brought in an individual capacity, not as part of a class action.

14. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after the effective date constitutes acceptance.
